Terms of Service
Effective date: May 21, 2026
These Terms of Service (the "Terms") govern your access to and use of the CLOAK API service, website, documentation, and related services (collectively, the "Services") provided by Wardline ("Wardline", "we", "us", or "our"). By creating an account, generating an API key, or otherwise accessing or using the Services, you ("you" or the "User") agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Entire Agreement
These Terms constitute the entire agreement between you and Wardline and govern your use of the Services, superseding any prior agreements or versions of these Terms. In the event of any conflict between these Terms and any other agreement, order, or policy — with the exception of a written License Agreement signed by both parties — these Terms will prevail. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Description of Service
CLOAK API provides a machine-learning-based personally identifiable information (PII) detection and redaction service. The Services allow you to submit text and receive detected PII entities together with redacted output through REST API endpoints, a web dashboard, and related tools. Wardline may add, modify, or discontinue features of the Services at any time in accordance with these Terms.
3. Eligibility
You must be at least the age of majority in your jurisdiction of residence to use the Services. If you reside in a jurisdiction that restricts your use of the Services or your ability to enter into contracts such as this one due to age, you must abide by those limits and must not use the Services.
4. Account Registration & Security
- You must provide accurate, current, and complete registration information and keep it up to date.
- You are responsible for safeguarding your credentials and API keys, and for all activity that occurs under your account.
- You must not share your account, or authorise any third party to use it on your behalf.
- You must immediately change your password and notify us of any unauthorised use or security breach at nithish@wardline.co.
- Wardline may verify the information you provide at any time and may refuse or suspend the Services without stated reason, to the extent permitted by law.
5. API Keys
API keys are credentials that grant access to the Services on your behalf. You are solely responsible for all activity that occurs under your API keys. Keys must not be embedded in client-side code, committed to public repositories, or shared with unauthorised parties. Keys are hashed and cannot be recovered once generated — you are responsible for storing them securely. Revoke compromised keys immediately from the dashboard.
6. Usage Rights & Restrictions
Subject to your compliance with these Terms, Wardline grants you a revocable, limited, non-exclusive, non-sublicensable, and non-transferable licence during the Term to access and use the Services and Documentation for your internal business purposes. Except as expressly permitted, you shall not, and shall not permit any person to:
- copy, modify, or create derivative works of the Services or Documentation;
- rent, lease, lend, sell, sublicense, assign, distribute, or otherwise make the Services available to any third party;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying machine-learning models of the Services;
- remove or alter any proprietary notices in the Services or Documentation;
- use the Services to process data you are not authorised to access, or in any way that infringes the intellectual property, privacy, or other rights of any person;
- interfere with or disrupt the Services, including by circumventing rate limits, quotas, or any protective or safety measures;
- use output from the Services to develop, train, or improve any product or model that competes with Wardline;
- use any automated method (scraping, harvesting, or extraction) to obtain data or output from the Services beyond the documented API;
- use the Services to transmit viruses, malware, or other harmful code, or to defame, harass, or harm any person; or
- use the Services in any safety-critical application where failure could lead to death, personal injury, or severe physical or property damage.
7. Your Content & Operational Data
You retain all rights, title, and interest in the text and other content you submit to the Services ("Content"), to the extent you already held such rights. You are solely responsible for your Content and for ensuring you have all necessary consents, permissions, and authority — including under applicable privacy laws — to submit it to the Services.
You grant Wardline a non-exclusive, worldwide, royalty-free licence to access, process, store, and transmit your Content and operational data solely to (i) provide and improve the Services, (ii) verify usage and compliance, and (iii) generate aggregated, de-identified statistics that do not identify any individual, customer, or user ("Aggregated Data"). Aggregated Data is not your Confidential Information, and Wardline may use it for analytics, benchmarking, and other business purposes without restriction.
8. Feedback
If you provide suggestions, enhancement requests, corrections, or other feedback about the Services ("Feedback"), you grant Wardline a worldwide, perpetual, irrevocable, royalty-free licence to use and incorporate that Feedback into the Services without any obligation or compensation to you. Wardline is not obligated to use any Feedback.
9. Confidential Information
Each party agrees to protect the other's Confidential Information with at least the same degree of care it uses for its own confidential information, and not to disclose it to any third party or use it except as permitted by these Terms. "Confidential Information" means non-public information disclosed by one party to the other, including software, algorithms, machine-learning models, business plans, and technical information, whether or not marked confidential. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was rightfully known before disclosure, is rightfully received from a third party, or is independently developed.
10. Intellectual Property
All rights, title, and interest — including all intellectual property rights — in and to the Services, including the API, machine-learning models, Documentation, website, and any modifications or Aggregated Data (collectively, "Wardline Property"), remain the exclusive property of Wardline. These Terms do not grant you any ownership rights in the Wardline Property, and Wardline reserves all rights not expressly granted. You retain ownership of your Content as set out in Section 7.
11. Third-Party & Open-Source Components
The Services may incorporate third-party products and open-source components, which are subject to their own licence terms. Those components are not licensed to you under these Terms, and your use of them is governed by their respective licences. Wardline is not responsible for third-party products, and disclaims liability for them to the extent permitted by law.
12. Plans, Quotas & Fees
- The Free plan includes 50,000 words scanned per month and a rate limit of 10 requests per minute.
- Paid plans (Standard, Pro, Enterprise) offer higher quotas; Pro and Enterprise may be deployed on the customer's own infrastructure and are subject to separate pricing agreements.
- Quotas reset on the first day of each calendar month.
- Where fee-based Services are used, you must keep complete and accurate billing information on file. Fees are charged to your authorised payment method until the Services are terminated and all outstanding fees are paid.
- Payments may be processed by third-party payment processors (such as Stripe) subject to their terms; Wardline is not responsible for processor errors.
- We may modify pricing with 30 days' written notice. Fees are non-refundable except as required by law, and no refunds are issued for unused quota within a billing period.
13. Service Availability & Modifications
We strive for high availability but do not guarantee that the Services will be uninterrupted, timely, secure, or error-free. Scheduled maintenance, infrastructure failures, or third-party outages may cause temporary unavailability. Wardline reserves the right, at its sole discretion, to change, suspend, or discontinue the Services (in whole or in part), and to impose limits on features or usage, at any time, with or without notice.
14. Data & Privacy
Text submitted to the API is processed in real time to detect PII. We do not store the raw text content of your API requests beyond what is necessary to return a response. Metadata such as request counts, response times, and detected entity types is retained for quota management and analytics. Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
15. Electronic Messages
In connection with your use of the Services, Wardline may send you electronic messages for operational, security, or transactional purposes. Marketing messages are only sent where you have subscribed, and you may unsubscribe at any time using the link provided in such messages.
16. Indemnification
You agree to indemnify and hold harmless Wardline and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with: (i) your breach of these Terms or any applicable law; (ii) your Content or operational data; (iii) your use or misuse of the Services; or (iv) your violation of the rights of any third party.
17. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, ALL OF WHICH ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW. WARDLINE DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED OR ERROR-FREE. THE API IS A TOOL TO ASSIST WITH PII DETECTION AND SHOULD NOT BE RELIED UPON AS THE SOLE MEANS OF DATA PROTECTION OR COMPLIANCE.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WARDLINE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL WARDLINE'S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO WARDLINE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) INR 5,000.
19. Term & Termination
These Terms begin when you first access the Services and continue until terminated. Either party may terminate at any time. Wardline may suspend or terminate your account without notice if you breach these Terms or any applicable law, or if we suspect fraudulent or harmful activity. Upon termination, your licence to the Services ends, your API keys are revoked, and you must cease using the Services. Sections relating to Confidential Information, Intellectual Property, Indemnification, Disclaimers, Limitation of Liability, and Governing Law survive termination. Usage data may be retained for up to 90 days for legal and compliance purposes, in accordance with our Privacy Policy.
20. Relationship, Assignment & Severability
- Relationship. These Terms do not create any agency, partnership, employment, or joint venture between the parties. Each party is an independent contractor.
- Assignment. You may not assign these Terms, in whole or in part, without our prior written consent. Wardline may assign these Terms freely.
- Waiver & severability. Our failure to enforce any provision is not a waiver of it. If any provision is held invalid, the remaining provisions remain in full force and effect.
21. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles. You irrevocably submit to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India for any dispute arising out of or in connection with these Terms or your use of the Services. Nothing herein prevents Wardline from seeking injunctive relief in any appropriate jurisdiction to protect its intellectual property or confidential information.
22. Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will post the revised Terms and update the effective date at the top of this page, and where required, provide notice to the email on file. Changes take effect when posted (or, where a longer notice period is legally required, after that period). Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Definitions
- "Aggregated Data" — de-identified statistics and usage information derived from use of the Services that does not identify any individual, customer, or user.
- "Confidential Information" — non-public information disclosed by one party to the other, as described in Section 9.
- "Content" — text and other material you submit to, or make available through, the Services.
- "Documentation" — Wardline's documentation relating to the Services, as updated from time to time.
- "Personal Information" / "PII" — any information relating to a natural person that allows that person to be identified, directly or indirectly.
- "Services" — the CLOAK API, website, dashboard, Documentation, and related services provided by Wardline.
- "Term" — the period during which you access or use the Services, as described in Section 19.
